2、for medium to small size corporation investors, acting as an investment agent, assisting in investment management and providing IPO consultation services. 乙方在英國及香港、中國大陸主要經(jīng)營范圍為：Party Bs major operation in Great Britain, Hong Kong and China are as follows; A、 企業(yè)戰(zhàn)略咨詢：包括以中英為核心的世界投融資業(yè)務(wù)、 并購業(yè)務(wù)、資本市場與證券、財(cái)務(wù)和法
3、律參謀、戰(zhàn)略開展參謀、招商引資。Corporation Strategy Advisory Services : core base are in UK and China to provide advisory services for worldwide financial investment, business merger and acquisition, capital market and stock market, financial and legal matters, strategic business development and investment.B、 英國公司
4、注冊及倫敦代表處注冊、年檢及會計(jì)效勞、委托管理等. Company or Representation Office registration in UK. annual checking & renewal, finance and accounting serves, trusty management, etc.C、 英國公司配套效勞資源：專業(yè)秘書、提供商務(wù)資源整合空間、專案指派效勞、免費(fèi)虛擬辦公室、商業(yè)配套升級效勞專線來電接聽、英國 轉(zhuǎn)接、辦公室使用、公司行政管理 、法律參謀。UK company resources : professional company secretary,

7、議：Through mutual discussion, with consideration of integration of both Parties competitive advantages for international business development, Party A and Party B has mutually agreed the following items for strategic co-operation alliance. 一、 合作領(lǐng)域Co-operation Domain甲乙雙方擬在以下方面進(jìn)行合作包括但不限于以下方面：Party A an
8、d Party B have agreed on the following co-operation (including but not limited to below stated items)1、 上市融資：甲方為乙方輸送中國企業(yè)在英國證券市場上市包括主板和創(chuàng)業(yè)板市場；IPO Equity Financing : Party A will introduce the potential China Corporations to Party B for IPO in UK Stock Market (including Main Board and GEM Board).2、 私募融
9、資：乙方為甲方輸送的中國企業(yè)在英國境內(nèi)進(jìn)行私募融資；Private Equity Fund Financing : Party B will introduce the UK Private Equity Fund to Party A for potential China Corporation. 3、 企業(yè)效勞：乙方為甲方輸送的中國企業(yè)提供在英國的分支以及獨(dú)立機(jī)構(gòu)注冊及其管理效勞，甲方為乙方輸送的英國企業(yè)提供在中國的分支以及獨(dú)立機(jī)構(gòu)注冊及管理效勞；Corporation Services : Party B will provide company registration and ma
10、nagement services in UK to Party As introduced China Corporation who intends to setup the subsidiary company, branch office or independent corporation in UK. Party A will provide same sort of services in PRC to Partys introduced UK Corporation who intends to setup the business entity or office in PR
11、C. 4、 文化經(jīng)濟(jì)交流：甲乙雙方共同組織主辦在中國以及英國境內(nèi)的各種金融投資、文化經(jīng)濟(jì)交流活動以及國際間招商引資活動。Cultural and Economical Exchange Program : Party A and Party B will co-operate to organize various activities in UK and PRC for Financial Investment, Cultural and Economical Exchange Program and International-wise Business Development Confe
12、rence. 二、 合作方式Manner of Co-operation1、 乙方授權(quán)甲方為其在中國境內(nèi)的代表機(jī)構(gòu)，負(fù)責(zé)乙方在中國的合作工程及相關(guān)事務(wù)。Party B authorized Party A to act as the Representation Agent of Party B in Mainland China to perform the co-operation business.2、 甲方授權(quán)乙方為其在英國境內(nèi)的代表機(jī)構(gòu)，負(fù)責(zé)甲方在英國及國際的合作工程及相關(guān)事務(wù)。Party A authorized Party B to act as the Representati
13、on Agent of Party B in UK to perform the co-operation business.3、 甲乙雙方為對方提供雙語翻譯1名，負(fù)責(zé)雙方日常事務(wù)的溝通交流；Both Parties will provide a bilingual translator for each other to take care both parties daily operation and communication matters.4、 甲乙雙方互設(shè)辦事處及 轉(zhuǎn)、接聽效勞。Both Parties will establish their own representatio
14、n office and provide call transfer and pick-up services. 5、 甲乙雙方共同建立高層定期溝通制度，保證各項(xiàng)工作的順利開展.Both Parties will mutually develop periodical management communication system to ensure smooth development of co-operation business.6、 甲乙雙方各自認(rèn)定對方為其在對方所在國的戰(zhàn)略合作伙伴；為共同工程合作成功而努力。Both Parties will recognize another p
15、arty as the strategic partner in its own territory and strive for the successful on co-operation business.7、 甲乙雙方同意，在本協(xié)議有效期內(nèi)，一方可以使用另一方所有合作工程中擁有合法著作權(quán)或者合法授權(quán)的文字、音頻、圖像等資源，如果一方在其網(wǎng)站上使用另一方這些內(nèi)容時，該方須標(biāo)明內(nèi)容來自另一方。Both Parties agreed, in this agreement validity period, one party can use another partys legally lic
16、ensed documents and legally authorized wordings, sound tracks and pictures, etc, resources. If another party uses these kind of resources in her own website, the source of information should be clearly stated.8、 涉及商務(wù)考察和工程運(yùn)作費(fèi)用，以及利潤分配等方面，甲乙雙方可通過簽定具體工程合同予以解決。Regarding the expenses and profit sharing fo
17、r the Business Investigation program and specific co-operation project, both parties will resolve it in another agreement. 三、 合作承諾：Co-operation Commitment1、 友好合作、緊密配合、互相尊重、互相學(xué)習(xí)為根底；認(rèn)可客觀中西文化差異性，吸收優(yōu)秀文化，謀求中西融合、和諧開展。Both Parties agreed the co-operation are built up on foundation of friendly co-operation,
18、 closely support, mutually respect and co-learning base. Both Parties will objectively recognize the Eastern and Western cultural difference, learning the best parts from each other, striking for the best harmonic development. 2、 工作縝密細(xì)致、老實(shí)守信、合法經(jīng)營、各自承當(dāng)法律義務(wù)。Both Parties agreed to work deliberately wit
19、h integrity, operate legally and be responsible for individuals own duty. 四、 甲乙雙方均認(rèn)可本協(xié)議是對雙方合作的一種框架性安排，涉及到具體工程再另行簽訂相關(guān)合同書。Both Parties fully recognize that this agreement only serves as a framework of co-operation. For the details of individual co-operation project, another independent agreement will
20、be agreed and signed 五、 未盡事宜雙方協(xié)商解決。For the matters not covering in this agreement, both parties will mutually discuss.六、 本協(xié)議有效期為5 年，從 2021 年4 月 1 日始至2021 年 3 月 30 日止。協(xié)議期滿，甲乙雙方另行協(xié)商續(xù)簽。This Agreement is valid from to. Upon expiry, both Parties will discuss about the renewal issue.七、 本協(xié)議一式兩份，甲乙雙方各執(zhí)一份，簽字蓋章即具法律效力。This Agreement is written in both Chinese and English language in two copies, each Party having one copy.
