2、relevant regulations, after equal negotiation, Both parties agree to sign and comply with this labor service agreement第一條 乙方承擔(dān)的勞務(wù)內(nèi)容為： 開(kāi)拓市場(chǎng)，完成銷(xiāo)售任務(wù) 。Article 1 Party Bs Job duty is：Develop market, Finishing the sales task 第二條 乙方的工作地點(diǎn)為：越南 ,根據(jù)甲方工作需要，經(jīng)甲乙雙方協(xié)調(diào)一致，可變更工作地點(diǎn)。Article 2 Working location of Party B
3、 is: Vietnam which can be changed on the basis of mutual agreement as per Party As business requirements.第三條 本協(xié)議期限為自 2014 年5 月 5 日生效，至2017年 5 月 5 日終止。Article 3, The Agreement period is from 2014.05.05 to 2017.05.05 . 第四條 在協(xié)議期間，甲方的責(zé)任和義務(wù)是：Article 4 During the agreement period, Party As responsibilitie
4、s and obligations are:1、甲方按照工作當(dāng)?shù)匾?guī)定安排乙方合理的休息時(shí)間，休息日如有特殊情況安排工作的，甲方需同乙方商議,并征求乙方同意。 1. Party A shall arrange Party B reasonable time for rest in accordance with the local regulations. If there is special work arrangement, party A need negotiate with party B, party B agree to work on resting days.2、甲方每月以貨
5、幣或轉(zhuǎn)賬形式支付乙方工資報(bào)酬，月工資為 元。詳見(jiàn)附件：薪資考核說(shuō)明2. Party A pay remuneration with currency or bank transfer to Party B monthly, RMB Each month. Details kindly check the attachment 3、甲方不為乙方辦理社會(huì)保險(xiǎn)統(tǒng)籌,由個(gè)人自行解決。3. Party A doesnt include Party B for social insurance，it can be handled by party B.第五條 在協(xié)議期間，乙方的責(zé)任和義務(wù)是：Article
6、 5 During the agreement period, Party Bs responsibilities and obligations are:1、應(yīng)向甲方提供真實(shí)的身份證/護(hù)照原件及本協(xié)議的個(gè)人信息,如有虛假，甲方可隨時(shí)解除此協(xié)議，并扣除所有工資。1. Should provide true original ID/Passport and related personal information to Party A. If untrue, Party A can terminate the agreement at any time and deduct all pay.2、
7、應(yīng)服從公司安排的6天工作制，按時(shí)上下班，不能無(wú)故缺勤、曠工，遵守甲方規(guī)章制度，按時(shí)按質(zhì)完成甲方交付的工作任務(wù)，甲方有權(quán)利對(duì)乙方完成勞務(wù)情況進(jìn)行檢查、監(jiān)督、驗(yàn)收。2. Shall obey the arrangement work 6 days/week of the company, work on time, no unexcused absences, absenteeism, obey rules and regulations of Party A, complete tasks delivered by Party A on time and with good quality. P
8、arty A has the right to inspect, supervise for Party Bs working status.3、如有工作失職、違反公司規(guī)章制度、提供勞務(wù)達(dá)不到要求等，甲方有權(quán)解除此勞務(wù)協(xié)議。3. If there is dereliction of duty, violation of company rules and regulations, or fail to meet requirements of job, Party A shall have the right to dismiss the agreement.4、由于自身身體原因所造成的病亡及
9、自然生老病死等，甲方不負(fù)賠償責(zé)任.4. Party A shall not be liable for the disease caused due to Party Bs own health reasons, death and natural illness etc. 6、 乙方負(fù)有保守甲方商業(yè)秘密的義務(wù)。6. Party B shall have the obligation to conserve Party As trade secrets.第六條 發(fā)生下列情形之一，本協(xié)議終止：Article 6 The agreement terminates if one of the fol
10、lowing circumstances occurs:1、本協(xié)議期滿的；1. Expiration of this Agreement2、乙方由于健康等個(gè)人原因不能履行本協(xié)議義務(wù)的；2. Due to the health and personal reasons, Party B is unable to perform the obligations under this Agreement3、本協(xié)議因以下情形解除的：（1）甲方因經(jīng)營(yíng)情況變化、調(diào)整等，有權(quán)提前一周通知乙方解除本協(xié)議。（2）乙方提出解除協(xié)議，應(yīng)至少提前30 日；（3）雙方協(xié)商一致解除協(xié)議。3, The agreement
11、is cancelled due to the following circumstances:(1) The operating conditions changes and adjusts, Party A have the right to notice Party B about terminating this Agreement 30days in advance.(2) Party B cancel the agreement, should be at least notice Party A one month in advance;(3) Mutual agreement
12、to cancel the agreement.4.未經(jīng)甲方事先書(shū)面同意，乙方不得以任何形式直接或者間接地全職或者兼職受雇于他人或者自營(yíng)，從事于甲方業(yè)務(wù)相同或者相近似的工作，或在甲方工作期間從事與本公司經(jīng)營(yíng)無(wú)關(guān)的活動(dòng)。如果乙方擅自從事上述活動(dòng)的，甲方有權(quán)解除本協(xié)議。Party B cant do any full-time or part-time work which is similar to party As business scope, for some else company or for party B directly or indirectly without the pa
13、per approval from party A. Party A can cancel the agreement ,if party B do the mentioned activities.5.乙方嚴(yán)重失職，營(yíng)私舞弊，嚴(yán)重?fù)p害甲方利益，甲方有權(quán)解除本協(xié)議。Party B do gross neglect of duty, malpractice, serious injury to party A, party A can cancel the agreement.6.乙方不能勝任本工作，或者連續(xù)3個(gè)月績(jī)效考核不合格。Party B cant do the work well , o
14、r cant pass the performance test within 3 months.第七條 本協(xié)議終止后，乙方應(yīng)在30日內(nèi)將有關(guān)工作向甲方移交完畢，如給甲方造成損失，應(yīng)予賠償。Article 7 After termination of this Agreement, Party B should complete transferring work to Party A within 30 days. Party B shall pay for damage caused to Party A.第八條 乙方同意在本協(xié)議有效期間，因自身原因發(fā)生的醫(yī)療費(fèi)用自理，未能提供勞務(wù)期間，甲
15、方不支付勞務(wù)報(bào)酬。Article 8 Party B agrees that pay himself for medical expenses caused due to his own reasons during the effective period of this Agreement. If during this period party B fails to provide working service, Party A does not pay 第九條 因本協(xié)議引起的或與本協(xié)議有關(guān)的任何爭(zhēng)議，雙方協(xié)商解決。Article 9 Two parties shall negotia
16、te to resolve any dispute arising out of or relating to this Agreement 第十條 本協(xié)議一式兩份，甲乙雙方各執(zhí)一份，自甲方簽字并蓋章、乙方簽字后生效。 Article 10 This agreement shall have two originals and each party will have one. Since Both Parties signed, and Party A sealed, this agreement takes effect.附件-Attachment-薪資考核說(shuō)明Performance as
17、sessment and remuneration specifications1， 薪資說(shuō)明：Remuneration specification: 工資跟銷(xiāo)售任務(wù)成正比原則，2014年銷(xiāo)售任務(wù) 萬(wàn)美金，工資 人民幣，銷(xiāo)售任務(wù)完成之前按，按80%比例發(fā)放，任務(wù)完成之后，年底結(jié)算余下的20%。According to the proportional principle between wages and sales task, 2014年sales task 1,000,000 USD,wages:6000 ￥, party A will provide 80% wages, before
18、finishing the sales task, party A will provide the balanced 20% at the end of the year ,after party B finishing the sales task. 2014銷(xiāo)售任務(wù) 萬(wàn)美金，從5月份至12月份合計(jì)8個(gè)月，每個(gè)月平均任務(wù)金額： 萬(wàn)美金。2014 Sales task : USD, from May,2014 through December,2014. 8 months totally, monthly sales task : USD.2, 甲方的日常工作要求Daily working
19、request from party A. 每月有效項(xiàng)目信息不少于3個(gè)Available project info should be more than 3 every month 每月出差天數(shù)不少于15天。Business trip days should be more than 15 days every month3, 出差待遇方面：Business treatment from party A: 出差費(fèi)用:不超過(guò) 萬(wàn)越盾每天（ ￥），Business trip fee: less than VND/day 商務(wù)費(fèi)用由越南辦事處提供，不包含傭金。Customer fee can be provided by Taikai Vietnam office, not include commissions
