不可抗力條款 Force MajeureFORCE MAJEURE不可抗力 例1 買(mǎi)賣(mài)雙方除履行付款義務(wù)外, 因以下事由造成買(mǎi)賣(mài)任一方無(wú)法履行合同規(guī)定的義務(wù)或履行延誤的, 買(mǎi)賣(mài)任一方均不對(duì)此承擔(dān)任何責(zé)任, 事由具體內(nèi)容如下: 因不可抗力所致超出買(mǎi)賣(mài)任一方力合理控制范圍內(nèi)的不可抗力事件, 不可抗力發(fā)生, 及出現(xiàn)的不可抗力情況, 包括不影響前述事由的一般情況; 天災(zāi),罷工,火災(zāi),洪水,材料損毀; 事故, 惡劣天氣所致無(wú)法履行義務(wù)或造成義務(wù)履行延誤; 海難, 禁運(yùn), 事故, 政府當(dāng)局公布的限制規(guī)定(包括配給, 優(yōu)先事項(xiàng), 征用, 報(bào)價(jià)和價(jià)格控制等等)造成義務(wù)無(wú)法履行或義務(wù)履行延誤.Neither seller nor buyer shall be liable in damages or otherwise for any failure or delay in performance of any obligation hereunder other than obligation to make payment, where such failure or delays is caused by force majeure, being any event, occurrence of circumstance reasonably beyond the contral of that party, including without prejudice to the generality of the foregoing, failure or delay caused by or resulting from acts of god, strikes, fires, floods destruction of the material, delays of carriers due to breakdown or adverse weather, perils of the sea, embargoes, accidents, restrictions imposed by any governmental authority (including allocations, priorities, requisitions, quotas and price controls). 例2 因前述條款說(shuō)明的事由所致, 造成發(fā)貨期貨物交貨延遲或無(wú)法交貨, 合同規(guī)定的賣(mài)方發(fā)貨和買(mǎi)方接收貨物的時(shí)間在此交貨期則應(yīng)順延, 順延期: 30(叁拾)日.The time of seller to make, or buyer to receive, delivery hereunder shall be extanded during any period in which delivery shall be delayed or prevented by reason of any of the foregoing clauses. Up to a total of thirty (30) days. 例3 合同規(guī)定的交貨若交貨延遲或無(wú)法交貨達(dá)30(叁拾)日以上 ,買(mǎi)賣(mài)任一方就此情況向合同另一方出具書(shū)面通知書(shū)之后, 有權(quán)終止本合同.If any delivery hereunder shall be so delayed or prevented for more than thirty (30) days, either seller or buyer may terminate this contract with respect to such delivery upon written notice to the other party.例4 如果遭遇無(wú)法控制的時(shí)間或情況應(yīng)視為不可抗力，但不限于火災(zāi)、風(fēng)災(zāi)、水災(zāi)、地震、爆炸、叛亂、傳染、檢疫、隔離。如要是不可抗力一方不能履行合同規(guī)定下義務(wù)，另一方應(yīng)將履行合同的時(shí)間延長(zhǎng)，所延長(zhǎng)的時(shí)間應(yīng)于不可抗力事件的時(shí)間相等。Any event or circumstance beyond control shall be regarded as Force Majeure but not restricted to fire, wind, flood, earthquake, explosion, rebellion, epidemic, quarantine and segregation. In case either party that encounters Force Majeure fails to fulfill the obligation under the contract, the other party should extend the performance time by period equal to the time that Fore Majeure will last.例5 如果不可抗力持續(xù)6個(gè)月以上，合同雙方應(yīng)盡快通過(guò)友好協(xié)商的方式調(diào)整繼續(xù)履行合同事宜。如果雙方不能達(dá)成協(xié)議，則根據(jù)合同中第12條款通過(guò)仲裁決定。If the Force Majeure last over 6 months, the two parties of the contract should settle the case of continuing the contract by friendly negotiation as soon as possible. Should the two parties fail to reach an agreement will be settled by arbitration according to Clause 12 of the contract thereof.例8 因人力不可抗拒事故使賣(mài)方不能在本售貨合約規(guī)定期限內(nèi)交貨或不能交貨，賣(mài)方不負(fù)責(zé)任，但是賣(mài)方必須立即以電報(bào)通知買(mǎi)方。如果買(mǎi)方提出要求，賣(mài)方應(yīng)以?huà)焯?hào)函向買(mǎi)方提供由中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)或有關(guān)機(jī)構(gòu)出具的證明，證明事故的存在。買(mǎi)方不能領(lǐng)到進(jìn)口許可證，不能被認(rèn)為系屬人力不可抗拒范圍。 The Sellers shall not be held responsible if they fail, owing to Force Majeure cause or causes, to make delivery within the time stipulated in this Sales Contract or cannot deliver the goods. However, the Sellers shall inform immediately the Buyers by cable. The Sellers shall deliver to the Buyers by registered letter, if it is requested by the Buyers, a certificate issued by the China Council for the Promotion of International Trade or by any competent authorities, attesting the existence of the said cause or causes. The Buyers failure to obtain the relative Import Licence is not to be treated as Force Majeure.例9 如果任何一方由于自然災(zāi)害、戰(zhàn)爭(zhēng)、類(lèi)似于戰(zhàn)爭(zhēng)的情況、禁令、騷亂、罷工、封鎖和其他不可預(yù)見(jiàn)和不受控制的、若沒(méi)有額外的成本和時(shí)間是不能得到解決的意外事故，而不能履行或遲延履行本合同的義務(wù)，則該方不應(yīng)對(duì)另一方承擔(dān)任何責(zé)任。如果發(fā)生了不可抗力，受影響方應(yīng)在不可抗力發(fā)生后的7天內(nèi)及時(shí)通知另一方，并在不可抗力發(fā)生后的15天內(nèi)提交由當(dāng)?shù)叵嚓P(guān)部門(mén)印發(fā)的用于證明不可抗力發(fā)生的文件材料。雙方當(dāng)事人應(yīng)當(dāng)協(xié)商并形成最佳解決方案，用于解決因不可抗力而導(dǎo)致的對(duì)本合同的遲延和中斷履行。如果不可抗力持續(xù)嚴(yán)重影響本合同項(xiàng)下重要義務(wù)的履行達(dá)3個(gè)月之久，則任何一方均有權(quán)以書(shū)面形式提前30天通知終止本合同。7 cany Party does not or delays to fulfil the obligations in this Contract directly or indirectly due to natural disaster, wars, situations similar to war, embargo, disturbance, strike, blockade and other unpredictable and uncontrollable accidents which may not be solved without additional cost and time, this Party shall not bear any responsibility for the other Party.2 j: a f) j3 D% i1 NIn case of force majeure, the affected Party shall inform the other Party within seven days after occurring of such case and submit documents issued by local relevant department used to prove the occurrence of force majeure within 15 days after occurring of such case. Both parties shall negotiate and reach an optimal solution used to solve the delay and interruption problem of this Contract due to force majeure. If the force majeure continues to seriously impact implementation of crucial obligation under this Contract for three months, either of the Party shall have the right to terminate this Contract by written notice 30 days in advance.$ A6 O+ M3 v" U2 j$ M, C0 p0如果合同一方由于不可抗力因素而不能履行合同，比如地震、臺(tái)風(fēng)、洪水、火災(zāi)、戰(zhàn)爭(zhēng)及其他無(wú)法預(yù)見(jiàn)的事件，其發(fā)生和后果也無(wú)法阻止、無(wú)法避免的，該方應(yīng)立刻以電報(bào)通知對(duì)方，并在其后十五天內(nèi)提交公證機(jī)關(guān)出具的詳細(xì)的事件描述及有效文件，用以解釋其無(wú)法履行合同全部或部分條款的原因。雙方應(yīng)通過(guò)協(xié)商，根據(jù)事件對(duì)履行合同的影響程度，確定是終止合同或是免除履行合同的責(zé)任，或延長(zhǎng)合同的履行。Should either of the parties to the contract be prevented from executing the contract by force majeure, such as earthquake, typhoon, flood, fire and war and other unforeseen events and their happening and consequences are unpreventable and unavoidable, the prevented party shall , by cable, notify the other party without any delay, and shall , within 15 days thereafter, provide the detailed information of the events and a valid document for evidence issued by the relevant public notary organization for explaining the reason of its inability to execute or delay the execution of all or part of the contract.
