April 2011 2, Purpose & Aim 宗旨與目的Taking mutual trust, mutual reciprocity and mutual benefit as the principle, both Party A and Party B shall cooperate on ones own resource advantages in order to reap favorable social and economic benefits, and promote ones own social influence power. Party A shall offer the customer resources and traveling platform, and Party B shall supply good image service, ceremony organization and function host service.本著相互信任，互惠互利的原則，甲方和乙方將利用自身資源優(yōu)勢，幫助對方開展商業(yè)推廣，從而得良好的社會效益和經(jīng)濟效益，并且提升自己的社會影響力。甲方將積極向乙方提供的廣闊客戶資源和旅游平臺，乙方應(yīng)提供良好的影像服務(wù)，婚禮組織和慶典安排等服務(wù)。3,Rights & Obligations of Both Parties 權(quán)利和責(zé)任3.1 Party A:3.1.1 Party A shall use its best endeavors to promote and extend the sale of wedding and event image (photography & Videography) services.甲方負責(zé)盡最大可能的推廣乙方所提供的新西蘭境內(nèi)的婚禮婚紗，以及活動影像服務(wù)3.1.2 Party A shall pay all payments on time, without any delay甲方按時、準確向乙方支付應(yīng)付款項，不得拖欠。3.1.3 Party A hereby agree that the shall be on a “Exclusive” basis and all service clauses in this agreement shall prohibit Party A cooperate with any other third parties within New Zealand, until both parties agree to terminate this agreement.甲方同意本協(xié)議具有排他性，甲方將把乙方視作條款內(nèi)相關(guān)服務(wù)在新西蘭境內(nèi)的唯一合作伙伴，不得與任何第三方發(fā)生合作。 直至雙方同意解除合約。3.1.4 Party A must provide accurate, timely and clear reservation information, and notice Party B in writing甲方必須提供準確、及時和清楚的預(yù)定信息，并且必須以書面形式確認通知3.1.4 Party A shall take full responsibility of customers personal and property security甲方對客人在新西蘭活動期間負有人身、財產(chǎn)、安全方面的責(zé)任3.1.5 Party A entitled to make comments to the Party B upon reasonable suggestions for improvement.甲方有權(quán)根據(jù)客人的意見向乙方提出合理的改善建議，并督促乙方完善3.1.6 Party A entitled to make comments to the Party B upon reasonable suggestions for improvement.甲方有權(quán)根據(jù)客人的意見向乙方提出合理的改善建議，并督促乙方完善3.2 Party B:3.2.1 Party B shall take responsibility of providing professional, high quality image services, ceremony host & etc.乙方負責(zé)提供高質(zhì)量的影像服務(wù)和婚典組織承辦等相關(guān)服務(wù)3.2.2 Party B shall concern Party As suggestions and recommendations carefully。乙方將認真聽取甲方的相關(guān)改正意見Ver. April 2011 3.2.3 Party B shall supply all images on time, even try fastest as possible if necessary乙方應(yīng)準時提交影像產(chǎn)品，并盡可能提高效率。3.2.3 Party B shall help Party As New Zealand wedding & honeymoon photo promotion as much as possible.乙方應(yīng)盡可能的全方位的配合甲方的推廣活動4. Booking, Payment and Cancellation 預(yù)定，付款以及取消4.1 Party A must book with Party B at least 30 days before service date. All bookings must send in writing.甲方需在拍攝前至少 30 天確定服務(wù)日期和景點并以書面形式通知乙方 。4.2 Party B must response Party As booking with 48 Hours乙方必須在 48 小時之內(nèi)給予預(yù)定確認。4.3 Party A shall pay deposit (50% of whole payment) to Party B once the booking confirmed by Party B within 24 hours. All prices of services are New Zealand currency (see attached price list)甲方需在預(yù)定確認后的 24 小時之內(nèi)支付乙方總服務(wù)金額的 50作為定金（詳見價目表）。所有價格為新西蘭幣。4.4 After Party B finish service (exclude image editing & print), Party A must pay all rest payment to party B within 48 hours.在乙方完成相關(guān)服務(wù)后的 48 小時內(nèi)，甲方將全額支付余款 （本條款所指服務(wù)不包括后期修飾影像和打印產(chǎn)品）4.5 Party B shall finish customers retouch processing within 45 working days, and send to customer乙方需在 45 個工作日內(nèi)完成后期修飾并交由客人矯驗。4.6 No cancellation fee is payable on bookings cancelled at least 15 days prior to service day, except un-refundable fee from other parties, such as wedding venue hiring fee, air ticket, hotel booking, food & beverage and etc.在活動開始 15 天之前，無論任何原因，如甲方取消單反面取消預(yù)定，甲方可不負有責(zé)任，定金將予以返回，但乙方會扣除第三方不可退還費用，例如婚禮場地，機票，酒店預(yù)定，餐飲以及其他費用。4.7 A cancellation fee equal to 50% of whole price will be charged, if received 15 days prior to service day, plus wedding venue hiring fee, air ticket, hotel booking, food and beverage fee if exist.在活動開始 15 天之內(nèi)，無論任何原因，如甲方取消單反面取消預(yù)定，乙方將保留 50定金，并附加已支付的第三方不可退還費用，例如婚禮場地，機票，酒店預(yù)定，餐飲以及其他費用。4.8 Party A must pay whole service fee if customer cancelled the service 48 hours prior to service day在活動開始前 48 小時之內(nèi)，無論任何原因，如甲方取消單反面取消預(yù)定，甲方必須全額支付所有費用4.9 Double of payment will be paid to Party A, if Party B failed to provide service without backup plan, and does not give notice to Party A 48 hours prior to service day.在活動開始前 48 小時之內(nèi)，如乙方?jīng)]有預(yù)先通知甲方，并且再服務(wù)當(dāng)天無法提供相關(guān)服務(wù)，并沒有任何補救錯失。乙方將向甲方支付總金額兩倍的款項作為罰金。4.9 Both parties must discuss and reschedule the service or extend to late time if the weather is extremely disaster 如遇惡劣天氣因素當(dāng)天無法拍攝，乙方須和甲方客人協(xié)商后該拍其他景點或者延至夜間拍攝。Ver. April 2011 5. Others 其他補充5.1 There exist two copies of this Agreement. Each Party shall retain one copy. The two copies shall be of equal legal effect in both China and New Zealand本協(xié)議一式兩份，甲乙雙方各持有一份。 兩份合同在中國和新西蘭都具有相同的法律效應(yīng)。5.2 Pricing, commission change, suspension, cancellation and termination of this agreement requires advance written confirmation from both parties本協(xié)議委托內(nèi)容確定以及費用總額、委托變更、中止、解除和提前終止需雙方書面確認.5.3 If there is something unclear, both parties may conclude a supplement clause and the clause shall have the same effect as this agreement.本協(xié)議中未盡事宜，雙方協(xié)商解決，并另行簽定補充協(xié)議5.3 This Agreement shall become effective from the date when the Parties sign it and remain valid for a term of one (1) year, and it may be renewed/extended for a further term of two (2) years upon agreement by the Parties.本協(xié)議自簽定之日起生效，有效期 1 年。 合同結(jié)束后，在雙方同意的條件下可再續(xù)約 2 年P(guān)arty A Signatory 甲方簽字 JIS Image Studio SignatoryName 姓 名 : Name姓 名 : Roman HuPosition 職 位 : Position職 位 : DirectorSignature簽 字 : Signature簽 字 :Date日 期 : Date日 期 :
