1、 上海市房屋租賃合同 SHANGHAI TENANCY AGREEMENT (合同編號: 01- ) (CONTRACT NUMBER: ) 本合同雙方當事人 Two Parties of this agreement 出租方(甲方): 李 The Lessor (Party A): 【出租】 承租方(乙方): S The Lessee (Party B): S 根據(jù)《中華人民共和國合同法》、《上海市房屋租賃條例》(以下簡稱):《條例》的規(guī)定,甲
2、、乙雙方在平等、自愿、公平和誠實信用的基礎上,經(jīng)協(xié)商一致,就乙方承租甲方可依法 出租 (出租/預租)的 商品房 (房屋/商品房)事宜,訂立本合同。 In compliance with ((The Contract Law of the People’s Republic of China)) and (( Shanghai Tenancy Agreement)) (herein as Agreement), this Agreement is made, through consultation on the basis of equality, voluntaries and
3、mutual benefit, by and between Party A and Party B, whereby Party A agrees to let the legally possessed real estate to Party B and Party B agrees to take the same from Party A on the following terms and conditions. 一、 出租或預租房屋情況 One. The Situation of Leasing or pre-leasing Premises. 1-1. 甲
4、方 出租 (出租/預租)給乙方的房屋坐落在本市XX區(qū) XX 路XX號X號樓 X 室(以下簡稱該房屋)。該房屋 實測 (【出租】實測/【預租】預測)建筑面積為 120 平方米,房屋用途為 住宅 ,房屋類型為 公寓 、結構為 混合一等 。甲方已向乙方出示: 1-1. Party A shall let to Party B: Unit XX Block X The Edifice, Shanghai, which is the legal possession of Party A (hereinafter referred to as ‘the Premises’). The f
5、loor area of the Premises Party A shall let to Party B is 120 square meters in all (Lease/ Actual). The Premises use is Residence, the type of the Premises is Apartment, and the structure is Reinforced Concrete. The plot of the Premises sees the attachment (一). Party A shall show to Party B the foll
6、owing item: 1) 【出租】房地產(chǎn)權證/房屋所有權證/ ;『證書編號:滬房地浦字( 2000 )第 0148XXX 號。 1) The certificate of real estate ownership, the registered number is 滬房地浦字( 2000 )第 014XXX號, 1-2. 甲方作為該房屋的 房地產(chǎn)權利人 (房地產(chǎn)權利人/代管人/法律規(guī)定的其他權利人)與乙方建立租賃關系。簽訂本合同前,甲方已告知乙方該房屋 未 (已/未)設定抵押。 1-2. Party A shall set up T
7、enancy Agreement with Party B as the ownership rights to realty (1.ownership rights to realty 2.bailee 3. other rights to realty by the law of the Premises). Party A shall notify Party B about mortgage (Y/N) before signing the Tenancy Agreement. 1-3. 該房屋的公用或合用部位的使用范圍、條件和要求;現(xiàn)有裝修、附屬設施、設備狀況和甲方同意乙方自
8、行裝修和增設附屬設施的內(nèi)容、標準及需約定的有關事宜,由甲、乙雙方分別在本合同附件中加以列明。甲、乙雙方同意該附件作為甲方向乙方交付該房屋和本合同終止時乙方向甲方返還該房屋的驗收依據(jù)。甲方可以接受正常的磨損。 1-3. The usage area, condition, requirement of common space or share occupancy of the Premises, condition of facilities, the associated amenities required by Party B based on the agreement of Pa
9、rty A shall be specified in the attachment to this Agreement by the parties hereto. Such attachment shall serve as the basis upon which Party A shall hand over the Premises to Party B as described in this Agreement, and shall inspect and accept the Premises when Party B hands back such the Premises
10、upon the expiration of the Agreement. Fair wear and tear of the Premises is acceptable by Party A. 二、 租賃用途 Two. Usage of the Premise 2-1. 乙方向甲方承諾,租賃該房屋僅作為 住宅 使用,并遵守國家和本市有關房屋使用和物業(yè)管理的規(guī)定。 2-1. Party B promises to Party A to use the Premises solely for the purpose of Residence, and shall be ab
11、ided by the related principle of local and the People’s Republic of China. 2-2. 乙方保證,在租賃期內(nèi)未征得甲方書面同意以及按規(guī)定須經(jīng)有關部門審批而未核準前,不擅自改變上述約定的使用用途。 2-2. Within the term of this Agreement, Party B shall not use the Premises for any other purpose without obtaining the prior written consent of Party A and the c
12、onfirmation and approval of the department concerned. 三、 交付日期和租賃期限 Three. Delivery date and leasing term 3-1. 甲乙雙方約定,甲方于 200X 年 06 月 XX 日前向乙方交付該房屋。【出租】房屋租賃期自 200X 年 06 月 XX 日起至 200X 年0X 月 XX 日止。 3-1. The term of this Agreement is XX months in all, commencing on June XX, 200
13、X , and expiring on June XX, 200X. 3-2. 租賃期滿,甲方有權收回全部出租房屋,乙方應如期返還。乙方需繼續(xù)承租該房屋的,則應于租賃期屆滿前 X 個月,向甲方提出續(xù)租書面要求,經(jīng)甲方同意后重新簽訂租賃合同。 3-2. Party A shall be entitled, upon expiration of this Agreement, to claim back the Premises and Party B shall have to hand back the same in time as stipulated. In case tha
14、t Party B wishes to renew this Agreement upon expiration of this Agreement, Party B shall notify Party A in X month before the expiration of this Agreement. A new Agreement shall be signed after Party A expresses its agreement. 四、 租金、支付方式和期限 Four. Rent, Payment Method and Term 4-1. 甲、乙雙方約定,該
15、房屋【出租】月租金總計為( 人民幣) 1XXXX 元。(大寫:壹萬XXXX整), 包含物業(yè)管理費,XXXX。 4-1. Upon the agreement between Party A and Party B, the monthly rent of the Premises totals RMB 1XXXX .including the management fee, XXX 4-2. 乙方應于每月 XX 日前向甲支付租金。 4-2. Party B shall pay monthly rent to Party A in advance on
16、 the XXth day of each calendar month. 4-3. 乙方支付租金的方式如下: 銀行轉賬, 甲方賬戶信息見補充條款 。 4-3. The method of payment of the rent for the Premises is as follows: Bank Transfer. Party A’s bank account information states in the additional terms. 五、 保證金和其他費用 Five. Security Deposit and other Fe
17、es 5-1. 甲、乙雙方約定,甲方交付該房屋時,乙方應向甲方支付房屋租賃保證金,保證金為 X 個月的租金,即( 人民幣 ) XXXX 元。 甲方收取保證金后向乙方開具收款憑證。 租賃關系終止時,甲方收取的房屋租賃保證金除用以抵充合同約定由乙方承擔的費用外(水電煤,電話等),剩余部分無息歸還乙方。 5-1. Upon the mutual Agreement between Party A and Party B, Party B shall pay the security deposit, which equals to X (months) rental fees;
18、the total amount shall be calculated as RMB XXXX Party A shall write out receipt to Party B after receiving the security deposit. Upon the termination of the agreement, Party A shall deduct the security deposit as the (Utility, telephone fee etc) which shall be afforded by
19、Party B; the rest of security deposit shall be returned to Party B. 5-2. 租賃期間,使用該房屋所發(fā)生的水、電、煤氣、通訊費用由 乙方 (甲方/乙方)承擔。其他有關費用及設備、物業(yè)管理費、衛(wèi)星電視費,均由 甲方 (甲方/乙方)承擔。 5-2. The utility of water, electricity, gas and telecommunication fee consumed in the Premises within the term of the Agreement shall be p
20、aid by Party A. Management fee, invoice and satellite TV fee shall be paid by Party A. 5-3. 乙方 (甲方/乙方)負責支付的上費述用,計算或分攤辦法、支付方式和時間: 按帳單及時繳付 。 5-3. The date of the payment and the method of payment of such utility fees shall be as follows: Party B shall pay the aforementioned fee timely
21、 to related departments according to the bills l. 六、 房屋使用要求和維修責任 Six. The responsibilities on Repair of the Premises. 6-1. 租賃期間,乙方發(fā)現(xiàn)該房屋及其附屬設施有損壞或故障時,應及時通知甲方修復;甲方應在接到乙方通知后的 X 日內(nèi)進行維修。逾期不維修的,乙方可代為維修,所有維修費用由甲方承擔。 Within the term of the Agreement, Party B shall notify Party A to take charge
22、 of the repairs in time if any losses or damages of the Premises occurred. Party A shall be responsible for the maintenance within X days after receiving the notice from Party B. Party B might take responsibility of the repairs if it is overdue; All repair and maintenance charges or expenses shall b
23、e borne by Party A 6-2. 租賃期間,乙方應合理使用并愛護該房屋及其附屬設施。因乙方使用不當或不合理使用,致使該房屋及其附屬設施損壞或發(fā)生故障的,乙方應負責維修。乙方拒不維修,甲方可代為維修,費用由乙方承擔。 6-2 Within the term of the Agreement, Party B shall take good care of, and make proper use of, the Premises, all the installations and property therein. Party B shall be responsibl
24、e, once and for all, for the loss and damage to the Premises or to the installations therein, as a result of the improper use on the part of Party B. Party B shall be liable either to take charge of the repairs there of or to indemnify Party A for such losses or damages. Party A might take responsib
25、ility of the repairs instead of the refusing repairs by Party B. Party B shall liable to take charge of the repairs. 6-3. 租賃期間,甲方保證房屋及其附屬設施處于正常的可使用和安全的狀態(tài)。甲方對該房屋進行檢查、養(yǎng)護,應提前 X 日通知乙方。檢查養(yǎng)護時,乙方應盡量予以配合。甲方應竭盡全力減少對乙方使用該房屋的影響。 6-3 Within the term of the Agreement, Party A shall guarantee the use and s
26、afety of the Premises. Party A shall inform Party B at X days in advance in order to do maintenance and Party B shall thereby use reasonable endeavours to co-operate. Party A shall use his best endeavours to minimise the disruption to Party B of Party Bs use of the premises during the maintenance pe
27、riod. 6-4. 除本合同附件(二)外,乙方另需裝修或增設附屬設施和設備的,應事先征得甲方的書面同意,按規(guī)定須向有關部門審批的,則還應由 甲方 (甲方/甲方委托乙方)報請有關部門批準后,方可進行。乙方增設的附屬設施和設備歸屬及其維修責任由甲、乙雙方另行書面約定。 6-4 Party B shall accept furnishings and all installations stated in attachment (2), and only after obtaining the written consent of Party A, shall refurnish
28、or alter any or all of the furnishings and installations therein. And in compliance with the pertinent regulations. Party B shall present a report or the aforesaid refurnishing and alterations to the department concerned. Only after all the reporting and approval procedures have been completed, shal
29、l the work of such refurnishing and alterations be affected. The belongings and maintenance of additional facilities of the Premises are based on the mutual negotiation between Party A and Party B. 七、 房屋交還時的狀態(tài) Seven. The state of the returned Premises 7-1. 除甲方同意乙方續(xù)租外,乙方應在本合同的租期屆滿后的 二 日內(nèi)應
30、返還該房屋,未經(jīng)甲方同意逾期返還房屋的,每逾期一日,乙方應按 雙倍日租金 向甲方支付該房屋占用使用費。 7-1. Except for obtaining Party A’s prior consent for renewal, Party B shall return the Premises to Party A within 2 days after expiration. If Party B fails to return the Premises on schedule, Party B shall pay a penalty to Party A in the amount o
31、f double rental for each day of delay. 7-2. 乙方返還該房屋應當符合正常使用后的狀態(tài)。返還時,應經(jīng)甲方驗收方可,并相互結清各自應當承擔的費用。甲方接受正常的磨損。 7-2. Party B shall return the Premises to Party A with original condition. When Party A takes over the Premises, both Party A and Party B shall square the payment with each other. Fair wear
32、and tear is acceptable by Party A. 八、 轉租、轉讓和交換 Eight. Subletting, transfer and exchange 8-1. 除甲方已在本合同補充付款中同意乙方轉租外,乙方在租賃期內(nèi),需事先征得甲方的書面同意,方可將該房屋部分或全部轉租給他人。但同一間居住房屋,不得分割轉租。 8-1. Unless otherwise stipulated by Party A hereto in the provisions and supplementary provisions under this Agreement, Par
33、ty B shall not sublet the whole or part of the Premises without obtaining the written consent of Party A. But Party B shall not sublet part of a room, or the room by berths. 8-2. 乙方轉租該房屋,應按規(guī)定與接受轉租方訂立書面的轉租合同。并按規(guī)定向該房屋所在區(qū)、縣房地產(chǎn)交易中心或農(nóng)場系統(tǒng)受理處辦理登記備案。 8-2. Party B shall sublet the Premises in accordance
34、 with the sublease Agreement signed with Party A, which shall submit to local real estate department on file. 8-3. 在租賃期內(nèi),乙方將該房屋轉讓給他人承租或與他人承租的房屋進行交換,必須事先征得甲方書面同意。轉讓或交換后,該房屋承租權的受讓人或交換人應與甲方簽訂租賃主體變更合同并繼續(xù)履行本合同。 8-3. Within the term of the Agreement, Party B must obtain Party A’s prior written consen
35、t before if may sublet its leased Premises to another party or exchange its leased Premises with another party within the term of the lease. Party A shall continue to perform the obligations stipulated in this Agreement during the term of the sublease, in addition to enjoying the rights and bearing
36、the obligations stipulated in the sublease contract. 8-4. 在租賃期內(nèi),甲方如需出售該房屋,需保證本租約在房屋出售后應繼續(xù)履行。乙方在同等條件下有優(yōu)先購買權。 8-4. Within the term of the Agreement, if Party A wants to sell the rented apartment, Party A shall make sure this lease will carry out by the new landlord. Party B herein has the privile
37、ge to buy the leased Premises under same condition. 九、 解除本合同的條件 Nine. Conditions to terminate the Contract 9-1. 甲、乙雙方同意在租賃期內(nèi),有下列情況之一的,本合同終止,雙方互不承擔責任: 9-1. This Agreement shall not be terminated during the term of the Agreement except in any of the following circumstance. Neither Party A nor
38、 Party B shall bear the obligation if the following circumstance occurred. (一) 該房屋占用范圍內(nèi)的土地使用權依法提前收回的; (a) The Premises rights are taken back according to law or other circumstances occurred attributable to prohibitions by law. (二) 該房屋因社會公共利益被依法征用的; (b) Social & public Affairs use the Premi
39、ses. (三) 該房屋因城市建設需要被依法列入房屋拆遷許可范圍的; (c) The Premises is removed during the duration of the Agreement following approved by the relevant department of the municipal or district (county) government. (四) 該房屋毀損、滅失或者被鑒定為危險房屋的; (d) This Agreement cannot be performed due to impair and damage.
40、 9-2. 甲、乙雙方同意,有下列情形之一的,一方可書面通知另一方解除本合同。違反合同的一方,應向另一方按月租金的 雙 倍支付違約金;給對方造成損失的,支付的違約金不足抵付一方損失的,還應賠償造成的損失與違約金的差額部分。 9-2. Under mutual agreement between Party A and Party B, either Party shall notify each other to terminate the Agreement with written notice if one of the following circumstances occu
41、rred. Either party is treated as in breach of this Agreement shall pay liquidated damages at the rate of 2 times of monthly rental. The balance between liquidated damages and losses shall be compensated if the liquidated damages thus paid are not sufficient to make up other party’s losses。 (一) 甲方
42、未按時交付該房屋,經(jīng)乙方催告后 七 日內(nèi)仍未交付的; (a) Party A fails to deliver on schedule and fails to do so within Party B after 7 days with the time agreed upon in this Agreement. (二) 甲方交付的該房屋不符合本合同的約定,致使不能實現(xiàn)租賃目的的;或甲方交付的房屋存在缺陷,危及乙方安全的。 (b) The condition of the Premises delivered by Party A is hereto not in ac
43、cordance with the Agreement, or the delivered Premises with the defection or damage, which could not leased to Party B. (三) 乙方未征得甲方書面同意改變房屋用途,致使房屋損壞的 (c) Party B uses the leased property other than for the purpose stated herein. (四) 因乙方原因造成房屋主體結構損壞的; (d) Party B alters the structure of the
44、 Premises without authorization. (五) 乙方擅自轉租該房屋、轉讓該房屋承租權或與他人交換各自承租的房屋的; (e) Party B sublets, transfers or swaps the Premises without obtaining the prior written consent of Party A. (六) 乙方逾期不支付租金累計超過 壹 個 月的; (f) Party B fails to pay rent for more than one month after the due day. 十、 違約責任
45、 Ten. Liabilities for Breach of contract 10-1. 該房屋交付時存在缺陷的,甲方應自交付之日起的 五 日內(nèi)進行修復。 10-1. Party A shall carry out repairs on the Premises after 5 days of delivery. Party A shall agree to lower the rental and notify the related supplemental clauses if Party A shall not repair the Premises within
46、the due date. 10-2. 因甲方未告知乙方,該房屋出租前已抵押或產(chǎn)權轉移已受到限制,造成乙方損失的,甲方應負責賠償。 10-2. If Party A fails to represent Party B about mortgage statues and the restriction of transferring the rights of the Premises in this Agreement. Party A shall be liable for Party B’s losses. 10-3. 租賃期間,甲方不及時履行本合同約定的維修、養(yǎng)護責任
47、,致使房屋損壞,造成乙方財產(chǎn)損失或人身傷害的,甲方應承擔賠償責任。 10-3. Within the term of this Agreement, Party A shall be responsible for the indemnification for the losses incurred by Party B because of the damages to the Premises resulting from the non-performance of the provisions in respect of maintenance and repairs as sp
48、ecified in this Agreement. 10-4. 租賃期間,非本合同規(guī)定的情況,甲方擅自解除本合同,提前收回該房屋的,甲方應向乙方支付相當于兩個月租金的違約金。若違約金不足抵付乙方損失的,甲方還應負責賠償。 10-4. If Party A arbitrarily rescinds this Agreement within the lease term for reasons not attributable to this Agreement herein and take back the Premises ahead of time, Party A shall
49、 pay liquidated damages to Party B in the amount of 2 times the monthly rental; if the liquidated damages thus paid are not sufficient to make up Party B’s losses, Party A shall also be responsible for paying compensation。 10-5. 乙方未征得甲方書面同意或者超出甲方書面同意的范圍和要求裝修房屋或者增設附屬設施的,甲方可以要求乙方 賠償損失 (恢復房屋原狀/賠償
50、損失)。 10-5. Restore or refurnish the Premises without obtaining the prior written consent of Party A, or exceeding the area stated in this Agreement. Party A shall require Party B to pay the liquidated damages (a. return to the original condition / b. pay the liquidated damages) 10-6. 租賃期間,非本合
51、同規(guī)定的情況,乙方中途擅自退租的,乙方應向甲方支付相當于兩個月租金的違約金。若違約金不足抵付甲方損失的,乙方還應負責賠償。甲方可從租賃保證金中抵扣。保證金不足抵扣的,不足部分則由乙方另行交付。 10-6. If Party B terminates this Agreement within the lease term for reasons not attributable to this Agreement herein, Party B shall pay liquidated damages to Party A in the amount of 2 times the mont
52、hly rental. If the liquidated damages thus paid are not sufficient to make up Party A’s losses, Party B shall also be responsible for paying compensation. Party A has the rights to redeem the losses from security deposit. If security deposit thus is not sufficient to be redeemed, Party B shall also
53、be responsible for paying the remedial fee. 十一、 其他條款 Eleven. Other terms 11-1. 租賃期間,甲方需抵押該房屋,應當書面告知乙方,并向乙方承諾該房屋抵押后當事人協(xié)議以折價、變賣方式處分該房屋前 叁拾 日書面征詢乙方購買該房屋的意見。 11-1. Within the term of this Agreement, Party A shall be responsible to tell Party B with written notice when Party A needs to mortgage
54、the premises, and presents the guarantee to inquire Party B about the intention to buy the leased Premises 30 days before dealing with the leased premises on discount or realization. 11-2. 本合同自雙方簽字后 立即 生效。生效后的15日內(nèi),由甲方負責按規(guī)定向房屋所在地區(qū)、縣房地產(chǎn)交易中心或農(nóng)場系統(tǒng)受理處辦理登記備案,領取房屋租賃登記備案證明;本合同經(jīng)登記備案后,凡變更、終止本合同的,由 甲方
55、 (甲方/乙方)負責在本合同變更終止之日起的15日內(nèi),向原登記機構辦理變更、終止登記備案手續(xù)。因甲方未辦理房屋租賃登記備案或變更、終止登記備案的,所引起的法律糾紛,由甲方承擔一切責任。 11-2. Party A shall, on behalf of the two parties herein to this Agreement, register at the Real Estate Exchange Administrative Department of the district or county or municipal government within fif
56、teen days, commencing on the signing date of this Agreement. This Agreement shall go for the registration, and the reception of the Certificate of the Lease of the Real Estate. In the event of any modification or termination of this Agreement after it becomes effective, Party A shall, on behalf of t
57、he two parties herein to this Agreement, register the modification or termination of this Agreement at the same registry within fifteen days of the actual modification or termination. If Party A fails to perform registration, or modification, Party A shall be liable for dispute. This Agreement comes
58、 into effect only after Signature (Signature /Registration). 11-3. 本合同未盡事宜,經(jīng)甲、乙雙方協(xié)商一致,可訂立補充條款。本合同補充條款及附件均為本合同不可分割的一部分,本合同及其補充條款和附件內(nèi)空格部分填寫的文字與鉛印文字具有同等效力。 11-3. Matters not covered in this Contract may be set forth in supplementary Provisions subject to a consensus reached between Party A and Par
59、ty B following consultations. The Supplementary Provisions and Attachments of this Agreement are from an inseparable part of this Agreement. The text written into the blank spaces of this Agreement and its Supplementary Provisions and Attachments and the printed that shall be equally authentic.
60、 11-4. 甲、乙雙方在簽署本合同時,對各自的權利、義務、責任清楚明白,并愿按合同規(guī)定嚴格執(zhí)行。如一方違反本合同,另一方有權按本合同規(guī)定索賠。 11-4. Upon the signing of this Agreement, both the parties is equally eligible, fully aware of their respective rights, obligations and responsibilities herein, and willing to act strictly on the provisions defined in this A
61、greement. Each party shall be entitled to lodge a claim against, and to be reimbursed by, the other breaching party 11-5. 甲、乙雙方在履行本合同過程中發(fā)生爭議,應通過協(xié)商解決;協(xié)商解決不成的,雙方同意選擇下列第 壹 種方式解決: 11-5. Any dispute arising from the performance of this Agreement shall be settled through consultation between the two

In the event that such a dispute should fail to be solved through consultation, it shall be settled in either of the two ways stipulated hereinafter as follows (for both the parties to decide on the adoption of the one way and the rejection of the other). (一) 提交 中國國際經(jīng)濟貿(mào)易仲裁委員會上海分會 仲裁
63、委員會仲裁. (a) Submit it for arbitration to the Shanghai Arbitration Commission; (二) 依法向人民法院起訴。 (b) Or bring it to the People’s Court, under whose jurisdiction the seat of the Premises is located. 本合同連同附件一式 叁 份。其中:甲、乙雙方各執(zhí)一份,以及 上海明大房地產(chǎn)經(jīng)紀有限公司 各執(zhí)一份,均具有同等效力。中英文具有同等法律效力。中英文條款及意思如有不一致之處, 以中文為準。
64、 This Agreement and its attachment are prepared in 3 in the original, one for each party, one for Joanna Real Estate. Both Chinese text and English text shall have the same legal effect. In the event that there is any disagreement between the Chinese version and English version, the Chinese versi
